  1. Certification of Signatory’s Signing Authority
    1. This dfgf document is required for all University agreements/contracts. It indicates that that the person who executes the Agreement has authority to sign on behalf of the company.
    2. It should NOT be signed by the person executing the Agreement but by an officer of the company.
    3. This document must be signed and dated the same day as the Agreement but adopted Prior To the signing of the contract
      1. Companies that are incorporated should use one of the “Corporation ” sample forms (#1, #3, or #5).
        • Corporations often establish signatory by bylaw or other document (i.e. a resolution by the BOD), a copy of that document must accompany the Certification
      2. Companies that are formed as a Limited Liability Company (LLC) should use either sample form #2 or #4.
        • Be sure to identify the signatory of an LLC as a member or manager.
      3. A company that is a Partnership should use the “Partnership” form #6.
        • Consider using the “Opinion of Legal Counsel” (form #7), if your organization’s formation is complicated, i.e. if your company’s member/manager is another entity and your legal counsel is agreeable to the form.
  2. State Nondiscrimination Certification: Is required for all University agreements/contracts regardless of value. These forms may be found at the following State website: http://www.ct.gov/opm/cwp/view.asp?a=2982&q=390928&opmNav_GID=1806
    1. This Certification should signed by the individual who executes the Agreement
    2. This document must be signed and dated the same day as the Agreement.

  3. State Ethics Forms 1 – Gift and Campaign Contribution Certification.
    1. Must be signed by the individual who executes the Agreement
    2. This document must be signed and dated the same day as the Agreement.
    3. Be sure to complete both pages 1 and 2, and do not leave the lines on page 2 blank – if no contributions were made, insert “None” where the blank lines are.
  4. State Ethics Forms 5 – Consulting Agreement Affidavit
    1. Must be signed by the individual who executes the Agreement
    2. This document must be signed and dated the same day as the Agreement.
    3. Complete only the shaded area at the bottom of the form, unless the company did enter into a consulting agreement regarding this Agreement with UConn.

  6. State Ethics Form 7 – Iran Certification
    1. The attached Form 7 must always be submitted with the resulting contract, regardless of where the principal place of business is located.
    2. Complete “Respondent Name” at the top part of this form with contractor name.
    3. Part C. “Certification requirements,” is completed ONLY if the contractor’s principal place of business is located outside of the United States (a contractor is any corporation, general partnership, limited partnership, limited liability partnership, joint venture, nonprofit organization or other business organization). For purposes of this form, a “foreign corporation” is one that is organized and incorporated outside the United States of America. United States subsidiaries of foreign corporations are exempt.

Use Form 6 is used ONLY for large State construction contract or large State procurement contract.
